 STATUTES 2013

VOTED DURING THE GENERAL MEETING OF JUNE 24, 2013

ADOPTED DURING ELECTIONS TO THE NEW COMMITTEE OF OCTOBER 10, 2013

I. PURPOSE AND COMPOSITION OF THE ASSOCIATION

Art. 1. The French Society of Egyptology is a non-profit association whose aim is to publicize and develop studies and research relating to ancient Egypt.

Its registered office is located in Paris, at the College de France (Cabinet of Egyptology), 11 Place Marcelin Berthelot, 75231 Paris cedex 05.

Art. 2. The number of members of the Society is unlimited. It encompasses:

– benefactor members, entitled to the service of the Review of Egyptology , published once

per year ;

– full members;

– student members on proof of status;

– honorary members, elected by the Committee.

The rate of contributions is set annually by the general meeting, on the proposal of the Committee. All up-to-date members receive the Bulletin of the French Society of Egyptology ( BSFE ) each year.

Legal persons, French or foreign, may be admitted as members of the Society under the same conditions and with the same advantages as natural persons.

Art. 3. Membership of the Society is terminated:

– by resignation;

– by expulsion pronounced by the Committee for non-payment of the contribution; – for reasons considered serious by the Committee.

II. DMINISTRATION AND OPERATION

Art. 4. The Society is administered by a Committee of twenty-five members, elected for four years, on the proposal of the Committee, by the General Assembly. They are chosen from among the members of the Society who have submitted an application and are eligible for re-election.

The Committee includes:

– a maximum of eighteen members holding or having held professional positions in the field of Egyptology, and at least one doctoral or post-doctoral student in this discipline;

– at least six members of the Society rendering or having rendered services to the Society, representing the General Meeting.

To be eligible, members must be current with their dues.

Art. 5. The Committee chooses among its members, by secret ballot, officers composed of: a chairman,

two vice-presidents,

a secretary,

a treasurer.

Officers are elected for four years. Their role is renewable.

Art. 6. The Committee meets in ordinary session at least once a year and in extraordinary session when convened by the Chairman or at the request of a quarter of its members.

The presence of one third of the members of the Committee is necessary for the validity of the deliberations. Decisions are taken by a majority of the members present or represented. In the event of a tie, the chairman's vote is decisive.

Art. 7. The president has the capacity to represent the Society in all acts of civil and judicial life. If the President is absent, the officers may authorize one amongst them specifically for this purpose.

The President convenes and chairs meetings of the Committee, the Board and the General, Ordinary or Extraordinary Assemblies. In case of impediment, the President can be replaced by one of the vice- presidents.

Art. 8. The General Assembly includes all members of the Society regardless of their status. It meets at least once a year and each time it is convened by the President. Its Board is that of the Committee.

Art. 9. The Annual General Meeting is invited to approve the accounts, hears the report on the management of the Committee and on the financial and moral situation of the Society. It examines the accounts for the most recently closed financial year. It deliberates questions put on the agenda and provides for the renewal of the members of the Committee.

The reports and accounts, after approval by the Assembly, are inserted in the Bulletin of the

Society.

Minutes of General Meetings, both ordinary and extraordinary, are kept. The minutes are signed by the President and the Secretary.


    1. III.P UBLICATIONS

Art. 10. Each year, the Society publishes the Revue d'Égyptologie ( RdE ) and the Bulletin of the French Society of Egyptology ( BSFE ).

The Committee chooses from among its professional members a Publication Commission of seven members responsible for ensuring the publication of the Revue d'egyptologie .

The Publication Commission chooses from among its members a director, responsible for the Journal, whom it helps in the choice of works proposed for publication.

The Commission is renewable every four years.

Art. 11. The resources of the Society consist of:

membership fees;

any subsidies from the state or public establishments;

income from any investments or other available funds;

donations from natural or legal persons.

IV. MODIFICATION OF STATUTES AND DISSOLUTION

Art. 12. The statutes can only be modified by a vote of the General Assembly on the proposal of the Committee or of one tenth of the members of the Society. The Assembly must then be composed of at least a quarter of the members of the Society in office, present or represented.

If this quorum is not reached, the Meeting is convened again after at least fifteen days It can then deliberate regardless of the number of members present or represented.

In both cases, the modifications can only be adopted by a two-thirds majority of the members present or represented.

Art. 13. The General Meeting, if asked to decide on the dissolution of the Society, is convened especially for this purpose. It must include at least half of the members in office, present or represented.

If this quorum is not reached, the Assembly is convened again after at least fifteen days and can then validly deliberate regardless of the number of members present or represented .

Art. 14. In the event of dissolution, the General Assembly appoints a commission of five members responsible for the liquidation of the Soiciety's assets. It allocates any assets to one or more establishments pursuing similar goals.

 

In the event of conflict between this English version of the Statutes and the French version, it is the French version that governs.
